Many African countries have adopted governance codes modelled on global standards such as the OECD Principles, the World Bank governance frameworks and the IFC corporate governance guidelines. Countries like South Africa, Nigeria and Kenya have comprehensive codes such as King V, requiring independent directors, audit committees, risk management structures and transparency in financial reporting.

Most African companies' boards look impressive on paper - independent directors, detailed charters, ESG disclosures, annual evaluations. Yet governance failures still occur despite these structures.
