Countries like South Africa, Nigeria, and Kenya have also comprehensive governance codes like the King V, requiring independent directors, audit committees, risk management structures and transparency in financial reporting. Most African companies’ boards and governance frameworks look impressive on paper – independent directors, detailed charters, ESG disclosures, annual evaluations. Yet many governance failures occur despite these structures. The gap lies in the illusions many boards sometimes mistake for effectiveness – strong on paper but weaker in practice and enforcement.
